Ⅰ. General Terms

1.1 ipxus.com reserves the right to change or modify these Terms of Use at any time at its sole discretion. It is your responsibility to periodically review these Terms of Use for the latest changes. Any changes or modifications of these Terms of Use shall take effect once it is published on the website (unless the effective time is otherwise prescribed). You agree that by using the services provided by ipxus.com following any changes to these Terms of Use, you are agreeing to accept such changes.

1.2 If you have any objections to the changes to these Terms of Use or if you are dissatisfied with the services provided by ipxus.com, you should immediately: (1) stop using the services provided by ipxus.com; and (2) inform ipxus.com to stop providing service to you. You agree that once the service is terminated, the user's right to use the services provided by ipxus.com is terminated immediately.

II. User Registration

2.1 You hereby represent and warrant to ipxus.com as follows, which representations and warranties will be deemed repeated each time you use the services provided by ipxus.com:

(1) if you are a natural person: you are at least 13 years old of age and have full civil capacity;

(2) if you are an entity: you are duly organized and validly existing under the laws of the jurisdiction of your organization or incorporation and, if relevant under such laws, in good standing;

(3) your use of the services provided by ipxus.com complies with the applicable laws and regulations in your country/region, and your use of the services provided by ipxus.com does not violate your obligations to any third party; and

(4) you have the requisite power to use the services provided by ipxus.com and perform your corresponding obligations.

2.2 When providing the registration data and information (the “Registration Information”), you hereby agree that:

You will be required to enter your username and password when using certain features of the services provided by ipxus.com. You hereby agree that you will not share your username and/or password with any third party or allow any third party to access your account. ipxus.com is not responsible for any consequences and losses caused by your improper use of your account and/or password or any third party’s use of your account and/or password. If you believe that your username and/or password are known to any third party or that your account has been accessed by any third party, you should notify ipxus.com immediately.

III. Risk Factors

3.1 You understand and acknowledge that there are risks associated with holding, trading, investing in digital currencies and use of digital currency related services. The risks listed in this Section 3.1 are not exhaustive. These risks, and additional risks that may occur now or in the future, may prevent you from obtaining any gains, may cause you to suffer financial losses, and may even terminate the services we provide:

(1) Use of any digital currencies or related product and service carries potential financial, regulatory and other risks. Before using any digital currency or related products and services, you should confirm that you have sufficient knowledge and experience in the features and risks of blockchain technology, digital currency, and smart contracts. Your decision to participate in any digital currency activity and/or use of related services should be based on independent study and/or consultation with professionals as you deem necessary. ipxus.com assumes that when you use the services provided by ipxus.com, you are a professional who understands the digital currency industry and understands the risks of digital currency related products and services. These Terms of Use and any services provided by ipxus.com should not be deemed as ipxus.com’s providing you with investment advice;

(2) The value of any rewards provided by ipxus.com and the value of any digital currency may be affected by many factors not controlled by ipxus.com, including but not limited to changes in parameters/attributes, market price fluctuations in digital currencies, server costs etc.;

(3) Due to the nature of the digital currency, the value of any digital currency may lose some or all of its value at any time. You are aware of the fact that the value of any digital currency can decrease rapidly (and even decrease to zero). ipxus.com is not responsible for any and all losses caused by the market price fluctuations of any digital currency;

(4) ipxus.com will maintain or upgrade the system periodically. You hereby confirm that you do not expect that your use of the Services provided by ipxus.com is continuous, without any interruption. Unless otherwise expressly prescribed, ipxus.com is not responsible for any and all losses caused by the suspension and interruption due to ipxus.com’s maintenance and upgrading of its system;

(5) No authentication or computer security technology is 100% secure and safe. You agree to bear all risks related to hacking or identity theft;

(6) You understand and agree that ipxus.com reserves the right to post, modify, and/or provide information related to our service through the website and other official channels. ipxus.com is not responsible for information obtained through non-official channels of ipxus.com. If you have any questions related to the truthfulness of information sent in the name of ipxus.com, please contact us immediately.

IV. Use of Digital Currencies

4.1 You may not purchase, sell, exchange, hold and/or use any type of digital currency in any manner that is prohibited by the laws and regulations applicable to you.

4.2 Before using any service, you shall evaluate if the service is suitable for your financial capabilities and risk preferences. By using any service provided by ipxus.com, you acknowledge that you understand and accept all the risks associated with purchasing, selling, exchanging, holding and/or using digital currencies, including but not limited to

(1) Large price fluctuations: prices of any digital currency, including Bitcoin, may fall sharply, or even fall to zero;

(2) Digital currency transactions may take a while to be confirmed. Although very unlikely, it does exist the situation when some digital currency transactions may never be confirmed and unconfirmed digital currency transactions means such transactions are not completed;

(3) Digital currency transactions are irreversible: if you send any amount of digital currencies to any wrong person or digital currency wallet address, you may not be able to cancel the transaction or recover these funds; the wrong wallet address may result in the loss of the staking rewards and session rewards;

(4) Blockchain (or digital currency) technology may have unknown inherent technical defects; and

(5) Each country may introduce and promulgate new laws, regulations, and policies that affect the use of digital currencies.

V. Service

5.1 You shall be solely responsible for making sure that the digital currency wallet address submitted by you is suitable for receiving IPX tokens. ipxus.com shall not be responsible for any loss that is caused by the fact that the digital currency wallet address submitted by you is subject to restrictions such as fund receiving maximum limit.

5.2 In most cases, if you stake IPX on T day (UTC+9:00), staking rewards will soon start to accumulate at 0:00:00 on T+1 day (UTC+9:00 and begin to be distributed at 12:00:00 on T+2 day (UTC+9:00). If you stop staking between 0:00 to 24:00 on T+N day (UTC+9:00), your staking period is N-1 days and you will only receive staking rewards for the N-1 day period.

5.3 You understand and agree that ipxus.com will not make any promises about your future earnings. Any future earnings or yield (or rate of return) data mentioned on ipxus.com’s Calculator webpage are estimates and assumptions. Your actual income will be affected by many factors such as the market price of the digital currency, the amount of server costs actually charged by the cloud server provider, and etc.

VI. Calculator Formula

6.1 How to calculate session rewards?

(1) Assume P is the price of the session that the node provides traffic to the user. P_A(m) is the average price of the m session, P_A(x) is the average price of the x session which your node contributed to.

(2) If there are m sessions in the tachyon network, for m from 1 to m.

(3) If your node contributed to X sessions，for x from 1 to x.

(4) Due to the current testing period of the Staking system, Tachyon VPN has not yet been connected to IPX payment, so the current Session Rewards is subsidized by Tachyon ecology, which is 5% of the current circulating supply every day. The following session Rewards formula is only applicable during the test period.

6.2 How to calculate staking rewards?

(1) Assume circulating supply inflation rate = 5% for now. It may be adjusted after a period of operation.

(2) If there are N staking nodes with staking amount X_n respectively, for n from 1 to N.

(3) Assume the Effective Staking amount is [20,000, 200,000] , ie no more staking reward for amounts larger than 200,000 on the same node 20,000 < X_n; no reward on [ X_n - 200,000 ]

(4)Total Effective Staking Amount S = Sum { Y_n = X_n- |X_n-200000|, for n =1 to N }

Where |.| means absolute value.

(5) Staking reward for each X_n every day ( needless to pay every day tho)

VII. Restrictions and Obligations

7.1 You shall not use the services provided by ipxus.com to engage in any activities that violate applicable laws and regulations. You shall not use the services provided by ipxus.com

(1) support, incite or participate in any terrorist activities;

(2) participate in any money laundering activities;

(3) fabricate or distort facts, spread rumors, and disrupt social order;

(4) promote or produce obscene, violent and/or terrorist content; or

(5) participate in any other activities that violate applicable laws and regulations.

7.2 You agree to comply with all applicable laws and regulations, these Terms of Use and all rules and policies announced by ipxus.com from time to time regarding the use of the website and the services provided by ipxus.com.

7.3 You agree that you shall fully assume the relevant tax obligations arising from the use of the services provided by ipxus.com.

7.4 You agree and represent that you are using the services provided by ipxus.com only for your own benefit and that you are not using the services provided by ipxus.com on behalf of others or for the benefit of any third parties.

7.5 You agree to contact ipxus.com immediately if you find or suspect any fraud or misconduct by any third party using the services provided by ipxus.com.

7.6 You should not participate in any activities that may affect the services provided by ipxus.com and/or the security of the website.

7.7 Intellectual property rights of any content displayed on the website, including but not limited to articles, pictures, news, materials, website structure, website layout, website design, unless otherwise specified, are entirely owned by ipxus.com or ipxus.com’s licensor (if any). The user shall respect the intellectual property rights of ipxus.com and ipxus.com’s licensor (if any).

7.8 The user shall neither engage in any activities in the name of ipxus.com nor use the information/data on the website without prior written authorization from ipxus.com.

7.9 You hereby represent and warrant that your use of the services provided by ipxus.com will not negatively affect ipxus.com's reputation or cause ipxus.com to assume legal responsibility or other penalties, fines, and sanctions.

7.10 You hereby understand that the services provided by ipxus.com are not available to residents in the following countries or regions: Balkan, Belarus, Burma, Côte d’ Ivoire (Ivory Coast), Crimea-Ukraine, Cuba, Democratic Republic of Congo, Iran, Iraq, Liberia, North Korea, Sudan, Syria , Venezuela, Zimbabwe, Hong Kong, China and Mainland China. The above list may not be exhaustive. Before using the services provided by ipxus.com, please confirm that your use of the services provided by ipxus.com is legal in your country/region. All legal risks and liabilities caused by or arising from the fact that it is illegal to use the services provided by ipxus.com shall be entirely borne by you.

7.11 If the user violates any provisions of this Section 7, ipxus.com shall have the right to immediately suspend or terminate the service provided to the user, and ipxus.com shall have the right to take all necessary legal means within the scope permitted by the applicable laws and regulations.

VIII. Liability for Breach of Agreement

8.1 For any violation of these Terms of Use by the user (including but not limited to the user's use of the services provided by ipxus.com is illegal in the country/region where the user is located, etc.), ipxus.com shall have the right to immediately suspend or terminate the services provided to the user and take all necessary legal means within the scope permitted by applicable laws and regulations, including but not limited to holding the user liable for the relevant loss suffered by ipxus.com.

8.2 If ipxus.com reasonably suspects that the user uses the services provided by ipxus.com in an illegal, fraudulent, or other improper manner, ipxus.com shall have the right to suspend the provision of the services to the user until the user can provide proof of compliance to ipxus.com’s satisfaction.

IX. Limitation of Liability

9.1 ipxus.com shall not be liable for service suspension or termination occurring by reason of circumstances beyond its control, including but not limited to war (declared or undeclared), terrorist activities, acts of sabotage, blockade, fire, lightning, acts of god, national strikes, riots, insurrections, civil commotions, quarantine restrictions, epidemics, earthquakes, floods, hurricanes, explosions and regulatory and administrative actions or delays. In the event of such force majeure, ipxus.com shall take reasonable steps to minimize interruptions and loss but shall have no liability caused by or incidental to such force majeure.

9.2 The user agrees that any third-party links provided by ipxus.com are for convenience and reference only. ipxus.com's provision of these third-party links does not mean that it confirms these links and the content displayed on these links. Since these third-party links are not controlled by ipxus.com, ipxus.com cannot guarantee that user's access to such links is safe and virus-free. ipxus.com is not responsible for any loss caused by the user accessing such third-party links and any other third-party links not controlled by ipxus.com.

9.3 The user hereby understands and agrees: unless it is expressly agreed in writing by ipxus.com in advance, under any circumstances ipxus.com shall not be liable for the following events and the user's losses due to the following events:

(1) service interruption (such interruption is not caused by ipxus.com’s intentional misconduct);

(2) damage or loss of information/data not caused by ipxus.com ’s intentional misconduct;

(3) implementation or change of laws, regulations and policy factors;

(4) loss caused by the user's fault or violation of these Terms of Use (including but not limited to providing inaccurate information to ipxus.com, leaking password to third parties, etc.); and

(5) other events not controlled by ipxus.com.

9.4 You agree and accept that: without duplication of any other rights to recovery or indemnity set forth in these Terms of Use, you shall indemnify and defend website against, and shall hold us harmless from, any loss, liability, claim, action, suit, or expense (collectively, “Losses”, including reasonable attorney’s fee) caused by or resulting from your breach of these Terms of Use. In no event shall the website or any of their respective officers, directors, agents, employees or representatives, be liable to you or any third party for any special, incidental, indirect, or consequential damages or damages for loss of profits arising out of or in connection with these Terms of Use.

X. Miscellaneous

10.1 Waiver: no delay or omission as to the exercise of any right or power accruing upon any default by the user shall impair Company’s exercise of any right or power or shall be construed to be a waiver of any default or acquiescence therein.

10.2 Severability: should any provision of these Terms of Use be determined to be illegal or unenforceable, such determination shall not affect the remaining provisions of these Terms of Use.

10.3 Governing Law: these Terms of Use shall be governed in all respects by the laws of British Virgin Islands without regard to conflicts of law principles.

10.4 Dispute Resolution: if there is any dispute between the parties in the performance of these Terms of Use, and if the negotiation fails, either party has the right to submit the dispute to Singapore International Arbitration Centre for arbitration and the dispute shall be finally settled in accordance with Arbitration Rules of the Singapore International Arbitration Centre in effect at the time of submission for arbitration. The arbitral award is final and binding on both parties. Unless the arbitral award is otherwise determined, the arbitration fee shall be borne by the losing party. The losing party shall also compensate the winning party’s legal fees and other expenses.
